July 2025 - Amendments to Companies Ordinance enacted in Hong Kong in 2025

The 2025 amendments to the Companies Ordinance introduce a paperless communication option for companies, streamline processes for treasury shares (listed firms only), and launch a new re-domiciliation regime—making it easier for overseas companies to relocate to Hong Kong. These updates aim to boost efficiency, flexibility, and competitiveness in the corporate sector.

Background

A. Companies (Amendment) (No. 1) Ordinance 2025: The Hong Kong Companies Ordinance (“HKCO”) has been amended, effective from 17 April 2025:

  • To promote paperless corporate communication for companies; and
  • To introduce a new treasury share regime for listed companies.

B. Companies (Amendment) (No. 2) Ordinance 2025: The Companies (Amendment) (No. 2) Bill 2024 (the “Bill”) introducing the company re-domiciliation regime in Hong Kong has been passed by the Legislative Council and came into force on 23 May 2025.
