Forvis Mazars assisted BPER Banca S.p.A. and Banca Popolare di Sondrio S.p.A. in the preparation of the fairness opinion on the share exchange ratio in connection with the merger transaction.
The Court of Bologna appointed Forvis Mazars as the joint Independent Expert to issue the report, pursuant to Article 2501-sexies of the Italian Civil Code, on the share exchange ratio in connection with the merger by incorporation of BPSO into BPER.
The merger transaction, which entails a reorganization, will strengthen BPER’s value and presence in the territories considered strategic.

The team of professionals involved was led by Marco Lumeridi, acting as signing Partner for the engagement, supported by Silvia Carrara, Head of Capital Markets at Forvis Mazars, and Enrico Lucco Castello, Head of the Valuation Department within the Financial Advisory division.
