Advising on the sale of DataLase Holdings

Our Deal Advisory team is pleased to announce that it has successfully advised on the sale of DataLase Holdings Limited, a provider of innovative photonic printing solutions, to Bergman and Beving AB, which is listed on Nasdaq Stockholm.

DataLase is a global leader in photonic printing, providing inkless laser printing solutions suitable for a wide range of labels and packaging. DataLase works with market-leading brands across the food and beverage, pharmaceutical and personal care sectors, with an array of patents covering its unique product portfolio.

We initially advised the current shareholders on their Management Buy Out (MBO) in 2020 before acting as lead adviser on this recent transaction, delivering a full end-to-end process from buyer selection through to offer negotiation and completion mechanics to deliver the best value for the shareholders, whilst not losing sight of finding the ‘right’ owner for the business.

The acquisition adds to Bergman and Beving’s portfolio of sustainability-focused, value-adding industrial businesses.

The team advising DataLase included Oliver Hoffman, Arran Smedley and Oli Fawcett (Deal Advisory), supported by Alex Kingston and Sandy Cowan (Sale and Purchase Agreement Advisory), and Jamie Rhodes and Chloe Twidale (Tax). Shoosmiths corporate team were legal advisors on the transaction.

Arran Smedley, M&A Associate Director, said, “It has been great fun to go on the journey with the team over the last five years as they have taken the business from strength to strength. It has been a privilege to support in delivering this transaction, and it's a testament to the hard work of management. I have no doubt they will continue to grow the business and keep pushing the boundaries in what is an ever-evolving sector”.

Clare Lewis, DataLase CEO, said, “I am very pleased that B&B has become a majority shareholder in DataLase, and I’m looking forward to taking DataLase to the next level under their ownership. Working with the team at Forvis Mazars has been a fantastic experience and instrumental in facilitating the transaction. The advice provided alongside the joined-up approach has made what has been a huge moment for us, much more straightforward.”
